General Company Governance Meeting Minutes

Regardless of and further limiting any Domain delegations, the following restrictions shall limit delivery of services tied to the Holacracy brand by any partner or representative (a "Representative") of any circle or role otherwise-authorized to use the Holacracy brand.  Defined terms used in this Policy and not defined within refer to the definitions given in the most current version of the licensing agreement defined by @Licensing_Design.

No Certification:

No Representative may deliver Holacracy-branded services without a current Holacracy Certification.

Certified Holacracy Practitioner:

If a Representative's highest level of Holacracy Certification is “Certified Holacracy Practitioner”:

• Representative may not deliver events advertised as teaching, conveying, or otherwise resulting in skills for the use or application of Holacracy.

• Representative may not deliver events using designs or materials modified from the templates provided by @Holacracy_Development, except when modifications are made by a Certified Coach or otherwise allowed by @Licensing_Designs published standards.

• Representative may not deliver Licensed Discovery Sessions except when led by a Certified Coach.

• Representative may not deliver Licensed Services whatsoever.

Certified Holacracy Coach:

If Representative's highest level of Holacracy Certification is “Certified Holacracy Coach”:

• Representative may only deliver Licensed Discovery Sessions when (a) the session is co-delivered with an individual carrying a “Master Coach” Holacracy Certification, or such an individual actively coaches Representative while Representative prepares for such a delivery and plans follow-up actions after such a delivery; and (b) Representative uses a standard session design, session objectives, and the Licensed Materials provided by Company, with no significant additions or changes, or that any additions or changes are approved by an individual who carries a “Master Coach” Holacracy Certification and coaches Representative on such delivery.

• Representative may only deliver Licensed Services when (a) Representative is under the regular guidance and active coaching of an individual who carries the “Master Coach” Holacracy Certification throughout the contracting and delivery of Licensed Services, and (b) such a master coach continues to believe the engagement has a reasonable chance of providing value to the client without harming the brand image and reputation of the Licensed Marks.

Certified Holacracy Master Coach:

If Representative’s highest level of Holacracy Certification is “Certified Holacracy Master Coach”, Representative shall have no restrictions on authority due to this Policy.
