    ## Definition and Legal Status of “Partners”

    This Partnership System uses the words "Partner" and "Partnership" in the sense of the [Holacracy Constitution in version 4.1](https://www.holacracy.org/constitution): A “Partner” is “anyone who agrees to take part in the governance and operations of the Organization”. Which, very briefly, means: a “Partner” is a “member” of the organisation.

    "Partners" as defined by this policy are not legally partners or owners of the organisation. They are free agents who, by accepting Partnership, agree to work together. Being granted Partner status does not constitute ownership in the organisation or grant a right to a profit share or any other financial compensation. Ownership of Structure & Process is defined in [the organisation’s Foundational Document](http://structureprocess.com/about-us/foundation/).

    The exact relationship of a Partner to the organisation may be governed by an individual partnership contract.

    ## Duties of Partners

    With accepting partnership, Partners agree to adhere to the Holacracy Constitution version 4.1 and to all boundaries and policies defined by the organisation's Governance records.

    ## Types of Partners

    Structure & Process has three kinds of Partners:

    - Core Partners
    - Associate Partners
    - Community Members

    **Core Partners**
    Core Partners steward and energise the organisation. They fill Roles and take Individual Action.
    They grant Partner status to candidates and can revoke Partnership of current Partners.

    **Associate Partners**
    Associate Partners contribute to and energise the organisation. They fill Roles and take Individual Action.

    **Community Members**
    Community Members act as supporters to the organisation. They hold space and give feedback. They may also contribute to the organisation’s work by working in Roles or taking Individual Action.

    ## Partnership Grant

    Core and Associate Partnerships are granted by unanimous decision of the Core Partners. Core Partners must consult all Associate Partners before granting a new Associate Partnership. Core Partnerships can only be granted to existing Associate Partners.

    Community Memberships can be granted by any Core or Associate Partner.

    Partnership grants can be time-limited.

    ## Partnership Revocation

    Core Partnership can be revoked by unanimous decision of all Core and Associate Partners (not counting the disputed Partner).
    An Associate Partnership grant can be revoked by unanimous decision of the Core Partners.
    A Community Membership can be revoked by any Core or Associate Partner.

    ## Resigning Partnership

    Partners can resign their Partnership by giving written notice to any Core Partner.
    A Core Partner's resignation becomes valid 180 days after receiving it, or after written confirmation by the organisation.
    An Associate Partner's resignation becomes valid 90 days after receiving it, or after written confirmation by the organisation.
    A Community Member’s resignation becomes valid immediately with receiving it, unless the partner is holding Roles, in which case the Partner shall be treated like an Associate Partner.
